IR Webinar: Impact of UK Corporate Governance Code proposals with the FRC

On 6th September, we held a webinar, in partnership with the Financial Reporting Council (FRC), and featuring a panel of IRO and financial service providers, exploring the proposed changes to the UK Corporate Governance Code and the potential impacts on Investor Relations.

Beginning with a presentation from the FRC with details on the background and reasons for the proposed reforms, emergent themes from the consultation, FAQs and misconceptions, a panel discussion hen followed exploring the following issues: 

  • The implications around the audit committee taking on oversight of narrative reporting (including sustainability reporting and, where appropriate, ESG metrics)
  • Audit committees taking the lead on engagement with shareholders and other stakeholders regarding the AAP (including in relation to resilience statement and internal controls)
  • ‘Overboarding’ and the proposal that all ‘significant’ director appointments are listed in the annual report with an indication of their time commitments
  • The proposed increase in transparency/disclosure around the company’s ‘usage’ of malus and clawback arrangements

The webinar will close with an audience Q&A, providing a great opportunity to engage with the FRC on their proposed revisions to the Code, particularly in light of wider changes to the UK listings regime.
