FCA overhauls listing rules to boost growth and innovation
The new rules will bring the biggest changes to the listing regime in over 3 decades. From 29th July, there will be fewer shareholder approval requirements, allowing greater risk but intended to better reflect the risk appetite the economy needs to achieve growth.

The Taskforce on Nature-related Financial Disclosures (TNFD) has published final Additional sector guidance for eight real economy sectors to apply the LEAP approach, alongside updated Additional guidance for financial institutions to apply the TNFD Recommendations and final Guidance on value chains.

This IR Society response calls for simplicity to allow straightforward and speedy implementation, supports the eligibility of companies listed/traded on a UK recognised stock exchange (including investment trusts) for the UK ISA, but questions the exclusion of companies with overseas incorporations (except in the case of secondary listings).

Society responds on re-bundling research fees
In this IR Society response, which draws on the findings from our 2023 member poll on investment research, we emphasise the importance of research for valuations and the London markets, noting the impact of MiFID II unbundling on the quality of coverage and the industry perspectives provided. We are therefore generally supportive of the FCA's proposals for increased payment optionality as this could lead to increased/improved quality of coverage for small- and mid-caps, provided the associated ‘guardrails’ are proportionate and aligned with the equivalent US and proposed EU regimes.

FCA Anti-greenwashing guidance, and extension of SDR to portfolio managers
On 23 April 2024, the FCA published its much-anticipated anti-greenwashing guidance that will apply to all FCA regulated firms from 31 May 2024, and issued a consultation (CP24/8) on extending the SDR and labelling regime to portfolio managers.

Transition planning resources
The Transition Plan Taskforce (TPT) published its final set of resources, including sector-specific guidance, the Future for Nature in Transition Planning, and how to undertake a transition planning cycle. TPT outputs support the creation of consistent, comparable company reports and reduce the level of disclosure complexity faced by firms.
